Stockholder Communication Policy

Inspire Pharmaceuticals, Inc. is committed to providing its stockholders a mechanism to address communications to the company's Board of Directors. As a result, the Board has enacted this policy to assure stockholders ways to communicate with the Board of Directors.

Written Communications
Stockholders who wish to communicate with the Board may do so by sending written communications addressed to The Board of Directors, Inspire Pharmaceuticals, Inc., at 4222 Emperor Boulevard, Suite 200, Durham, North Carolina 27703-8466 or by sending an email to boardofdirectors@inspirepharm.com.

Annual Meeting of Stockholders
It is also the company's policy that all nominees or directors standing for election at an annual meeting of stockholders attend such annual meeting so that interested stockholders will have an opportunity to address the respective nominees or directors in person.

Disclosure
In light of these new requirements, management of the company is directed to include information regarding this policy in the company's proxy statement and on the company's website at www.inspirepharm.com.

The disclosure to be included in the proxy materials, will contain substantially the following language:

"Stockholders who wish to communicate with the Board may do so by sending written communications addressed to The Board of Directors, Inspire Pharmaceuticals, Inc., at 4222 Emperor Boulevard, Suite 200, Durham, North Carolina 27703-8466 or by sending an email to boardofdirectors@inspirepharm.com. This information is also contained on the Company's website at www.inspirepharm.com. It is also our policy that all nominees or directors standing for election at an annual meeting of stockholders attend such annual meeting. [All] [or insert names of nominees and directors who attended] of our nominees and directors who stood for election at our [insert year] annual meeting of stockholders attended that meeting."

The disclosure to be included on the website, in addition to any similar disclosure relating to the company's other policies such as its Whistleblower policy, will contain substantially the following language under an appropriately captioned title:

"You can contact our board of directors by writing to them c/o Inspire Pharmaceuticals, Inc., 4222 Emperor Boulevard, Suite 200, Durham, North Carolina 27703-8466 or by sending an email to boardofdirectors@inspirepharm.com. It is also our policy that all nominees or directors standing for election at an annual meeting of stockholders attend such annual meeting."
